Service Agreement

Effective Date: January 2, 2026

This Service Agreement (the “Agreement”) is entered into and made effective as of January 2, 2026, by and between:

The Client and the Service Provider may hereinafter be referred to individually as a “Party” and collectively as the “Parties.”

Recitals

Whereas, Evergreen Home Services Inc. is engaged in the business of providing attic, insulation, HVAC, and related home-improvement services throughout Los Angeles, Orange County, and the Sacramento / Bay Area of California; and

Whereas, EYIL Investments Company SRL operates a call center and marketing operation and has engaged Evergreen’s services continuously and in good standing since January 2, 2019, a period spanning more than seven (7) years through the date of this document; and

Whereas, the Parties wish to formally memorialize and confirm the nature, scope, fees, and payment terms of this longstanding business engagement.

1. Scope of Services

Since January 2, 2019 and continuing to the present, Evergreen Home Services Inc. has provided EYIL Investments with a full range of operational, marketing, and call center support services, including but not limited to:

• Operation and management of an inbound and outbound call center;
• Handling of customer telephone calls, inquiries, and appointment scheduling;
• Complete online marketing services, including lead generation, advertising management, and campaign coordination;
• Provision and management of internet and telephone systems used in operations;
• Coverage of electricity and utility costs associated with the operation;
• Management of all office logistics, administrative coordination, and day-to-day back-office operations;
• All general operational work necessary to support daily business functions.

Evergreen has performed these services professionally, reliably, and continuously, functioning as an integral operational partner to EYIL Investments.

2. Fees & Rates

In consideration for the services described in Section 1, EYIL Investments shall pay Evergreen Home Services Inc. a fixed fee of Six Thousand Five Hundred United States Dollars ($6,500.00 USD) per week.

This weekly fee is inclusive of, and intended to cover, all operational costs incurred by Evergreen in delivering the services, including but not limited to: internet and telephone service, electricity and utility bills, online marketing expenses, and all logistics associated with the operation of the business.

The weekly fee represents full and complete compensation for the operational scope provided by Evergreen and is not subject to additional charges except as expressly agreed in writing by both Parties.

3. Secretarial Staff

Separately from the weekly fee payable to Evergreen, EYIL Investments directly employs and pays two (2) full-time secretaries who answer telephone calls for Evergreen Home Services Inc.:

• Paula Esquivel — Full-Time Secretary
• Kari Stern — Full-Time Secretary

Both secretaries work full time for EYIL Investments, answering incoming phone calls on behalf of Evergreen Home Services Inc. Their compensation is paid directly by EYIL Investments and is separate from, and in addition to, the weekly fee set forth in Section 2.

4. Payment Terms

The weekly fee of $6,500.00 USD shall be paid by EYIL Investments to Evergreen Home Services Inc. on a weekly basis. Payment shall be made in United States Dollars via bank transfer, wire, or other mutually agreed method.

Payments have been rendered continuously and in good standing since the commencement of this engagement on January 2, 2019, and both Parties intend for such payments to continue on the same terms for the duration of the engagement.

5. Term of Engagement

The engagement commenced on January 2, 2019, and has continued uninterrupted for a period exceeding seven (7) years. The relationship remains active and ongoing as of the date of this Agreement, with both Parties intending for the engagement to continue in good standing.

6. Independent Relationship

Evergreen Home Services Inc. and EYIL Investments Company SRL are, and shall at all times remain, independent parties. Nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship between the Parties, except with respect to the secretarial staff directly employed by EYIL Investments as described in Section 3.

7. Confirmation for Third Parties

The Parties hereby confirm and attest that the foregoing statements are true and accurate, and that the business engagement between EYIL Investments Company SRL and Evergreen Home Services Inc. has been continuous and in good standing for more than seven (7) years. This document may be relied upon by banking institutions, lenders, and other third parties as formal confirmation of this longstanding business relationship, its fees, and its payment terms.
